Sales, Service, and Technical Support Terms and Conditions

1. Definition

The "Seller" refers to Hong Kong Chengyue Trading Co., Ltd.

The "buyer" refers to the party listed in the seller's quotation or invoice who purchases products and/or services from the seller.

The "Sales Contract" refers to the contract whereby the seller sells products and/or services to the buyer, and these terms and conditions form an integral part of the sales contract.

2. Contract Establishment

The sales contract is established after the buyer accepts the seller's quotation. The buyer guarantees to purchase only for their own internal use and not for resale purposes.

3. Order, Price, and Payment

The prices, payment terms, and configurations of products and/or services are clearly stipulated in writing in the sales contract.

Unless the seller has explicitly agreed to the credit terms, the price of the product or service shall be paid in full before the actual delivery of the product or service. If the buyer fails to pay any due price according to the agreed payment terms, a penalty of 0.3% of the overdue payment amount shall be paid by the buyer for each day of delay. The above-mentioned penalty and overdue payment amount shall be paid by the buyer together after the seller urges payment. Before any outstanding payment is made, the seller has the right to suspend the delivery of products and/or services, and the seller reserves the right to demand immediate payment from the buyer for the delivered products and/or services.

Unless otherwise agreed in writing between the buyer and the seller, the buyer shall make payments to the seller in the chronological order of the transactions, and the seller has the right to offset any amounts received from the buyer against any amounts due from the buyer (including outstanding receivables).

4. Ownership and Risk

The ownership and risk of the product pass to the buyer upon delivery to the buyer or its designated consignee.

5. Delivery

The seller shall deliver the products to the designated consignee ("designated consignee") at the designated delivery location ("delivery location") in accordance with the provisions of the sales contract. If the seller fails to deliver the product on time, unless otherwise agreed by both parties, the buyer may charge the seller three thousandths of the contract amount for each day of delay.

The product shall be deemed to have been delivered to the buyer upon delivery to the designated delivery location and receipt by the buyer (signed by the designated consignee, or in the event that the designated consignee is unable to sign, the seller may agree that the buyer shall sign with the company seal or other legally authorized seal).

6. General Assurance

Unless otherwise specified, the seller guarantees to the buyer that within one year from the invoice date, the products (excluding third-party products and software) will be free from defects in materials and workmanship that affect normal use (the "Regular Warranty"). During this period, if the seller's branded products fail to meet this regular warranty, the seller will be responsible for repairing or replacing those products returned from the buyer to the seller's factory.

This conventional warranty does not apply to damages, malfunctions, defects, or malfunctions caused by external factors. This external cause includes accidents, abuse, misuse, power supply issues, failure to use and/or store and/or install products according to product instructions, failure to perform necessary preventive maintenance, normal wear and tear, natural disasters, fires, floods, wars, violent acts, or any similar incidents; Problems caused by debugging, repairing, or supporting the product by personnel other than the seller or authorized by the seller, as well as using parts not supplied by the seller.

7. Service and Technical Support

If the buyer purchases additional service items provided by the seller, the seller will provide the services in accordance with the specific terms and conditions of the additional service contract between the seller and the buyer, in addition to the conventional guarantees mentioned above. The seller is obligated to provide services or technical support under the product or service contract after receiving full payment. The specific service and technical support terms and conditions can be consulted on the seller's internet website or obtained from the seller

8. Governing Law

These terms and conditions shall be governed by and interpreted in accordance with the laws of the People's Republic of China. Disputes related to these terms and conditions shall be resolved through friendly consultation between both parties as much as possible. If the negotiation fails to resolve the dispute, either party may submit it to the people's court with jurisdiction in the seller's location for resolution through litigation.

9. General Provisions

Unless otherwise agreed in writing by both parties, modifications or changes to the sales contract must be proposed in writing and confirmed by signing and/or affixing a legal authorization seal before they can take effect.

b. Third party liability

If the refund cannot be completed due to third-party reasons, such as delayed bank processing, the seller will assist the user in solving the problem, but will not be responsible.
